Terms of Service
Terms governing Youanai services, subscriptions, AI workflows, connected accounts, and individual dispute resolution.
1. Contracting entity, scope, and acceptance
These Terms of Service ("Terms") form an agreement between Youanai Technologies, LLC, a Texas limited liability company located in Georgetown, Texas 78628, USA ("Youanai," "we," "us," or "our"), and the person or organization using the Services ("Customer" or "you").
The Services include Youanai websites and products, workspaces, AI-assisted content and media workflows, Business DNA, analytics, support-mailbox features, connected social accounts, SMS features, and integrations with ChatGPT Apps, Codex, Claude, or other Model Context Protocol (MCP) clients.
By creating an account, using the Services, or accepting an Order Form that incorporates these Terms, you agree to these Terms. If you use the Services for an organization, you represent that you have authority to bind it. A negotiated Master Services Agreement or Order Form controls to the extent it expressly conflicts with these Terms.
2. Eligibility and minors
The Services are available to businesses and to individuals for personal use. You must be at least 13 years old. If you are under 18, you may use the Services only with permission from a parent or legal guardian who agrees to supervise your use. The Services are not directed to children under 13.
Local law may require a higher minimum age or additional consent. You may use the Services only if you can form a binding contract and are not prohibited from receiving them under applicable law.
3. Accounts, workspaces, and administrators
You must provide accurate account information and protect passwords, sessions, OAuth grants, connected accounts, and authentication methods. You are responsible for activity under your account except to the extent caused by Youanai's breach of these Terms or applicable law.
Workspace owners and administrators may invite or remove users, configure permissions, access workspace content, and control connected services. If an organization controls your workspace, its administrator may control your account within that workspace. You must have authority to connect each workspace, brand, mailbox, social account, or third-party service.
4. Services, AI features, and human review
Youanai may use artificial intelligence and third-party providers to perform workflows you request. AI output can be inaccurate, incomplete, non-unique, misleading, or unsuitable. You must review output, sources, rights, schedules, recipients, settings, and proposed external actions before use or reliance.
Youanai does not provide legal, medical, financial, employment, or other professional advice. You remain responsible for decisions and for complying with laws, advertising rules, platform policies, disclosure duties, and intellectual-property rights.
5. Subscriptions, renewal, and cancellation
Paid subscriptions automatically renew for the recurring period shown at checkout or in an Order Form until cancelled. You authorize the recurring charges disclosed when you subscribe.
Cancellation prevents the next renewal. Access continues through the end of the already-paid billing period unless access is suspended or terminated under these Terms. Fees, billing intervals, included usage, and plan limits are shown when you order.
Purchased credits expire 365 days after purchase.
6. License and Youanai intellectual property
Subject to these Terms and payment of applicable fees, Youanai grants you a limited, non-exclusive, non-transferable, revocable right to use the Services during your subscription or permitted free use for your internal business or personal purposes. Youanai and its licensors retain all rights in the Services, software, models, interfaces, documentation, and branding.
You may not copy, sell, sublicense, reverse engineer except where law forbids that restriction, bypass controls, scrape protected surfaces, or use the Services to build a competing model or service in violation of applicable law or third-party rights.
7. Customer content and output
You retain ownership of content you submit (Customer Content). You grant Youanai a limited license to host, reproduce, transform, transmit, and display Customer Content as needed to provide, secure, support, and comply with law for the Services you request.
You represent that you have the rights and permissions needed for Customer Content and your instructions. Youanai does not guarantee that AI-generated output is unique, accurate, non-infringing, or eligible for intellectual-property protection.
8. Connected platforms, OAuth, Gmail, and MCP clients
Connected services remain governed by their own terms. You choose permissions during OAuth consent and may revoke them in Youanai or the provider where supported. Read and write actions are limited by the scopes, workspace permissions, and workflow you authorize, but you must review any action before it affects an external service.
You must not bypass rate limits, platform restrictions, consent screens, or access controls. Provider availability, policy changes, account restrictions, and revocation behavior can affect the Services. Gmail use is also subject to Google's API Services User Data Policy, including Limited Use requirements.
9. Acceptable use and prohibited data
- Use the Services only for lawful, authorized purposes and content.
- Do not create, send, schedule, publish, or manage deceptive, harmful, infringing, abusive, discriminatory, illegal, or platform-violating content.
- Do not compromise security, probe without authorization, distribute malware, evade limits, impersonate others, or interfere with another user's service.
- Do not submit passwords, API keys, multi-factor authentication codes, full payment-card data, government identification numbers, protected health information, or other highly sensitive or regulated data unless Youanai has expressly approved the applicable service and contract in writing.
- Do not use output or automation to make unlawful high-impact decisions about employment, housing, credit, insurance, education, health, or legal rights.
10. SMS
If you expressly opt in, Youanai may send low-volume account, support, product-workflow, usage, credit, verification-related, and AI-agent conversation SMS or MMS messages. Frequency varies and carrier charges may apply. Reply STOP to opt out and HELP for help, or contact [email protected]. Consent to SMS is not a condition of purchase unless clearly disclosed and legally permitted.
Mobile numbers and SMS consent are not provided to third parties or affiliates for their own marketing or promotional use. Vendors may process messages only to provide the requested messaging service.
11. Privacy, data processing, and security
The Privacy Policy and Cookie Notice explain how Youanai handles personal data and similar technologies. When Youanai processes personal data for a business customer, an applicable Data Processing Addendum (DPA) also governs that processing.
12. Third-party services and beta features
The Services may depend on AI, hosting, storage, email, analytics, advertising, payment, telecommunications, social, and other providers. Youanai is not responsible for third-party services outside its reasonable control, but this does not limit obligations imposed by applicable law or an applicable DPA.
Preview, beta, experimental, or evaluation features may change or end and may carry additional risks. No service-level agreement or support commitment applies unless stated in a signed Order Form.
13. Suspension and termination
You may stop using the Services or request account closure. Youanai may suspend or terminate access for material breach, nonpayment, security risk, misuse, legal requirements, or harm to users or the Services, with notice and an opportunity to cure where appropriate and lawful.
After termination, personal data is handled under the Privacy Policy, an applicable DPA, and legal retention requirements.
14. Disclaimers
To the maximum extent permitted by law, the Services and output are provided as is and as available, without implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement. Youanai does not warrant uninterrupted operation, error-free output, a particular result, or compatibility with every third-party service. Consumer rights that cannot lawfully be waived remain unaffected.
15. Texas law and individual arbitration
Texas law governs these Terms, without regard to conflict-of-law rules, except where mandatory consumer law applies. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.
Before starting arbitration, the complaining party must send a written notice describing the dispute and requested relief. Notices to Youanai must be emailed to [email protected]. The parties will try in good faith for 30 days to resolve the dispute.
Except for eligible small-claims matters and claims seeking temporary injunctive relief for misuse of intellectual property or security, disputes will be resolved by binding individual arbitration administered by JAMS under its applicable rules. The arbitrator may award the same individual remedies available in court and will issue a written reasoned decision. Consumer arbitrations are subject to the JAMS Consumer Minimum Standards; a consumer's required filing fee will not exceed $250, and Youanai will pay other fees required by those standards.
Claims must proceed individually, not as a class, collective, or representative action, to the extent enforceable. Each party waives a jury trial for claims covered by this arbitration agreement.
You may opt out of this arbitration agreement by emailing [email protected] within 30 days after first accepting it. Include your name, account email, and a clear statement that you opt out of arbitration. Opting out does not affect the other Terms.
16. General terms and changes
You may not assign these Terms without Youanai's written consent. Youanai may assign them in connection with a merger, acquisition, reorganization, or sale of all or substantially all relevant assets. Neither party is liable for delay caused by events beyond its reasonable control.
If any provision is unenforceable, it will be modified only as much as necessary and the remaining provisions will remain in effect. A failure to enforce a provision is not a waiver. These Terms and any incorporated Order Form or DPA are the entire agreement about the Services and supersede earlier statements about the same subject.
Youanai may update these Terms from time to time. Updated Terms apply prospectively when posted or on a later stated date. Youanai will provide additional notice of material changes where required by law.
